2. Definitions

- Services refers to the computer systems design, software development, IT consulting, and related services offered by Nao Wa.
- User, You, or Your refers to any individual or entity accessing or using the Site.

- Agreement refers to a separate written contract, statement of work, or service agreement entered into between you and Nao Wa for the provision of Services.

The Nao Wa name, logo, and all related product and service names are trademarks of Hefei Naowa Network Technology Co., Ltd. and may not be used without our prior written consent.

- Use the Site in any way that violates applicable laws or regulations
- Attempt to gain unauthorized access to any part of the Site, its servers, or any connected systems

These Terms apply only to your use of the Site and do not modify, supersede, or form part of any service agreement. In the event of any conflict between these Terms and a duly executed service agreement, the terms of the service agreement shall prevail with respect to the Services described therein.
All estimates, proposals, and timelines provided through the Site or via email are non-binding until formalized in a written agreement. We reserve the right to decline any project or engagement at our sole discretion.
7. Third-Party Links and Resources
The Site may contain links to third-party websites or resources. These links are provided for convenience only and do not constitute an endorsement by Nao Wa. We have no control over the content, privacy practices, or availability of third-party sites and accept no responsibility for them. Your use of third-party websites is at your own risk and subject to the terms and conditions of those websites.
8. Disclaimer of Warranties
THE SITE AND ALL CONTENT ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NAO WA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NAO WA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our aggregate liability for any claims arising out of or relating to these Terms or the Site shall not exceed the greater of (a) the amount you have paid to Nao Wa in the twelve months preceding the claim, or (b) one hundred United States dollars (USD $100.00). The limitations in this section shall apply regardless of whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis.
10. Indemnification
You agree to indemnify, defend, and hold harmless Nao Wa and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any content or information you submit through the Site.

12. Modifications to Terms

Any dispute arising out of or relating to these Terms or the Site shall first be attempted to be resolved through good-faith negotiations between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to the competent courts in Hefei, Anhui Province, China.
16. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.
17. Waiver
No failure or delay by Nao Wa in exercising any right under these Terms shall operate as a waiver of that right. A waiver of any breach of these Terms shall not constitute a waiver of any subsequent breach.
18. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nao Wa regarding your use of the Site and supersede all prior agreements, communications, and understandings, whether written or oral, relating to the subject matter hereof.
